*The above rates are for 2025 and are expected to increase annually without prior notice. Your continued engagement with the firm is your acknowledgement and consent to these rate increases. Sabal Law may use any method to determine rate increases, and anticipates using the following guidelines: (a) increase rates by the greater of 3% or CPI; (b) maintain rates between 33% and 35% of the average billable rate of an AmLaw 100 equity partner; and (c) annual adjustments reflecting changes in the cost of malpractice insurance. The contingency fee of the whistleblower practice may be adjusted at anytime in connection with each client. If you engage or otherwise use Sabal Law for legal services that fall outside the scope of practice areas described in the Quad+ Model, the Standard Rate will apply unless a different rate is agreed upon in writing.
**This is an automatic & recurring payment plan for 10 hours of legal services a month. Unused hours expire and do not rollover to the following month. After all 10 hours are used in any given month, time will be billed at the Standard Rate. Engagements effective on or after the 1st calendar day of the month will be subject to prorated time and fees based on a 30-day month. Engagements effective on the 31st day of any month will be deemed effective as of the 30th day of that month. The OGC Program will be billed in advance promptly upon engagement and in advance on or about the first day of each month thereafter. The client agrees that OGC Program fees will be deemed earned upon receipt and will be deposited into Sabal Law's general account. Any time exceeding the program’s included hours will be billed in arears at the Standard Rates as additional fees.
The term of the OGC Program may be open-ended but must be a minimum of six months (the “Term”). In the event that a client terminates the Term early, the client agrees that, in exchange for Sabal Law agreeing to reserve hourly capacity during the Term and potentially foregoing engagements with other clients, the client will agree to pay Sabal Law an early termination fee equal to 75% of the remaining balance on the engagement. For example, the client agrees to a default term of 6 months (January through June) at a monthly rate of $5,737.50. The client terminates the contract at the end of the second month with 4 months remaining in the Term. The balance remaining on the contract is $22,950. The client immediately owes Sabal Law 75% of the balance or $17,212.50. Note: The default OGC Program does not lock in the hourly rate, only the discount off of the Standard Rate. If the Term straddles two calendar years, the Standard Rate is expected to increase, but the client will receive the discount off of the new Standard Rate. If a client wants to lock in the prevailing discounted rate, the client should choose the 3-year term described below.
Clients may also choose to lock-in OGC subscription pricing for a single 3-year term (the Term”). In the event that a client terminates the Term early, the client agrees that, in exchange for Sabal Law agreeing to hold discounted pricing constant during the Term and potentially foregoing engagements with other clients, the client will agree to pay Sabal Law an early termination fee equal to 75% of the remaining balance on the engagement contract. For example, the client agrees to a 3-year term, locking in the monthly rate of $5,737.50. The client terminates the contract at the end of the second year with 12 months remaining in the Term. The balance remaining pursuant to the contract is $68,850. The client immediately owes Sabal Law 75% of the balance or $51,637.50.
Subject to applicable laws and regulations, Sabal Law may terminate its representation at any time. In the event that Sabal Law chooses to terminate its representation, the client will not owe Sabal Law an early termination fee. Additionally, in the event of such termination by Sabal Law, if the client has a positive balance of hours under the OGC Program for the current month, Sabal Law will refund an amount equal to the product of such unused hours and the applicable discounted Standard Rate. For the avoidance of doubt, if all hours under the OGC Program have been used, the client will not be entitled to a refund and any additional hours will be billed in arears at the prevailing Standard Rate.
